Terms of Service

These Terms of Service ("Terms") govern your access to and use of VendorGate ("Service", "we", "us", or "our"), a vendor file validation platform operated by Mihma Corporation, Inc. By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Account registration and security

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use or security breach.

2. Subscriptions, billing, and refunds

Paid subscriptions are billed in advance through our payment processor, Paddle. Fees are based on the plan selected and billing period (monthly or annual). All fees are non-refundable except where required by law or as described in our Refund and Cancellation Policy .

You may cancel your subscription at any time via the billing portal. Cancellation takes effect at the end of the current billing period, after which your account will be downgraded to the free tier.

3. Acceptable use

You agree not to use the Service to process malicious files, violate any law, infringe intellectual property rights, or interfere with the integrity or performance of the Service. We may suspend or terminate accounts that violate these rules.

4. Data and content

You retain ownership of the data, files, and configurations you upload to the Service ("Customer Data"). You grant us a limited license to host, process, and transmit Customer Data solely to provide and improve the Service. We will not sell Customer Data.

5. Intellectual property

VendorGate and its underlying software, trademarks, and content are owned by Mihma Corporation, Inc. and its licensors. These Terms do not grant you any rights to our intellectual property except as necessary to use the Service under these Terms.

6. Confidentiality and security

We implement industry-standard security measures, including encryption in transit and at rest, to protect Customer Data. Details are available in our Security page and Privacy Policy .

7. Limitation of liability

To the fullest extent permitted by law, Mihma Corporation, Inc.'s total liability for any claim arising out of or relating to the Service is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, special, or consequential damages.

8. Termination

You may delete your account at any time by contacting us. We may suspend or terminate your access if you violate these Terms or if required by law. Upon termination, your right to use the Service ceases immediately.

9. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the updated Terms.

10. Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles. Any dispute will be resolved through binding arbitration in Wyoming, except that either party may seek injunctive relief in court.
